Coinner (hereafter: also “We”/”Our”) offers online software as a service (SaaS) through the website https://coinner.co (hereafter: also “Website”). Our software (hereafter: also “Software”) enables users (hereafter: “you”) to trade and manage cryptocurrency holdings by using an automated crypto trader bot that you solely control and configure the settings. These terms and conditions (hereafter: also “Terms”) apply to the relationship between Coinner and Users for any use of the Website and the Software that Coinner offers. It is prohibited to use the Website or Software without accepting these Terms. You should also read our Privacy Policy at https://coinner.co/privacy which is incorporated by reference into the Terms prior to agreeing to these Terms and Conditions.
1. Definitions
1.1 Coinner / We / Our: A platform which is providing automated, cryptocurrency trading bot services.
1.2 Bot: a computer program that will process cryptocurrency trade orders on third-party cryptocurrency exchanges using pre-defined algorithms with the absence of human interaction (Users).
1.3 User(s) / You: individual person or legal entity accessing or using the Website or Software.
1.4 Software: the website and applications developed by Coinner in order to enable Users to trade in crypto currencies on the crypto market, in the form of a crypto trade bot using a user-friendly digital interface. (Available at https://coinner.co)
1.5 API Key: a secret key providing access to third-party cryptocurrency exchanges to place buy/sell orders

2. Registration and personal account
2.1 If you want to use or access our Website or Software, go to https://coinner.co .
2.2 In order to have the access to our platform, you must be at least 18 years old.
2.3 You will need to register and create a personal account in order to use the Website and Software by providing us certain information, such as your email address and a password.
2.4 You must protect the login details of your account and keep your password strictly secret. We will assume that all activities done from your account are made by you or on your behalf by the allowed person.
2.5 You agree to provide up-to-date, complete and reliable information on your account. You agree to immediately update your account when necessary so that we can contact you if needed.

3. Subscription and payment
YOU NO NEED ANY PAID SUBSCRIPTION TO USE THE WEBSITE AND SOFTWARE AND ITS RANGE OF FUNCTIONALITIES. COINNER HAS THE RIGHT TO IMPLEMENT CHANGES TO THIS DECISION IF NEEDED.
4. Deletion of the account / Disconnecting any linked exchanges
4.1 If you would like to terminate your activity and permanently delete your account along with your user details, you have alright to request Coinner’s Support Team to delete your account and all the data provided by sending an email to support@coinner.co. Then we will delete your account permanently.
4.2 If you would like to block any linked cryptocurrency exchanges, you can simply disconnect the link by deleting the API Key through the platform’s My Accounts section (https://coinner.co/account/exchanges).

5. Fair use of our Website and Software
5.1 You may not use the Website and Software in such a way that you violate any applicable national or international laws and regulations, as well as rights of third parties.

5.3 Confidentiality of the account
a. You may not create an account under someone else’s name or act like someone else in any other way.
b. You are restricted to provide any other person with access to the platform using your email address, password or other security information.
c. In case the account concerns a corporate account, only an authorized person is allowed to trade with the corporate account. It is the responsibility of the user to of the corporate account that only authorized persons have access to the account.
d. You are responsible for maintaining the confidentiality of your data and restricting access to your devices.
e. You are responsible for all activities that occur under your account or from you devices in relation to the platform, including any misuse of your account. However, we will take reasonable actions (such as block your account temporarily / permanently and deny you access to the platform) to protect you from unauthorized access to your account. You agree to notify us immediately of any unauthorized access to or any other violence of security. If you fail to notify us accordingly, we will not be able to reduce the damage that can occur due to the unauthorized access.
b. You are restricted to provide any other person with access to the platform using your email address, password or other security information.

‒ the (lack of) financial benefit for the Users through the use of the Website or Software;
‒ any situation where Users login details and/or password is stolen and any third party subsequently makes use of the Website or Software without User’s consent;
‒ any damage or alteration to User’s equipment including but not limited to computer equipment or a handheld device as a result of the use of the Website or Software;
‒ a failure to meet any of Coinner’s obligations under these Terms where such failure is due to events beyond Coinner’s reasonable control.

10.3 The information and data on the “Group chat” on Telegram @CoinnerOfficial are User Generated. Coinner has no influence on the data and information that is transmitted between Users on the Group chat, and Coinner will not monitor any content on the Group chat uploaded or shared by Users. Therefore, Coinner is not liable for any data and information on the Group chat. Coinner may remove content and information from the Group chat if we are notified that the content or information is unlawful, violating these Terms or is otherwise inappropriate.
11. Indemnification
Users will indemnify, defend, and hold Coinner harmless from and against all liabilities, damages and costs (including settlement costs and reasonable attorneys’ fees) arising out of third-party claims regarding:
a. any injury or damages resulting from the behavior of User related to the use of our Website and Software; and
b. breach by User of these Terms or violation of any applicable law, regulation or order.

12. Changes to the Terms
Coinner reserves the rights to change these Terms of Use. You will be notified of any changes to the Terms through the Website and Software seven days a week in advance. The changes will become effective at the end of the week when the advance notice period ends. In case you do not agree with the changes, you have the right to delete your account as mentioned in the Section 4.
13. Availability of the Website and Software
13.1 Coinner will use reasonable efforts to make the Website and Software available at all times. However, User acknowledges that the Website and Software are provided over the internet and mobile networks and thus the quality and availability of the Website and Software may be affected by factors outside Coinner’s reasonable control.
13.2 Coinner does not accept any responsibility whatsoever for unavailability of the Website and Software, or any difficulty or inability to download or access content, or any other communication system failure which may result in the Website or Software being unavailable (hereinafter - Outages).
13.3 Coinner is not responsible for any support or maintenance regarding the Website or Software. Coinner may – at its own discretion – update, modify, or adapt the Website or Software and their functionalities from time to time to enhance the user experience. Coinner is not responsible for any downtime resulting from these actions.
13.4 Coinner platform may be unavailable when an update, modification or maintenance is processing in a linked third-party exchange further when a downtime in a third-party exchange. We are not responsible for any downtime in our platform resulting from these situations in third-party exchanges.
13.5 To the maximum extent permitted by applicable law, Coinner hereby disclaims all implied warranties regarding the availability of the Website and Software. The Website and Software are provided "as is" and "as available" without warranty of any kind.

15. Coinner Coins Referral Program Rules
15.1 Any Coinner account holder can become a referrer.
15.2 Your friends or social media followers may be eligible to be referees. Referee must be a new Coinner user and can’t have more than one account.
15.3 Referrers get rewarded with Coinner coins for inviting new users that start bot trading on any non-paper trading account. Referrers receive 100 Coinner coins after referee makes their first bot trade on any none-paper exchange account. Referee get 100 coins after they create account.
15.4 The requirements for receiving, and the amounts of Coinner Coins are subject to change at Coinner’s sole discretion. Referral rewards in the form of Coinner coins are not transferable, have no cash value. Coinner may cancel a reward at any time at its sole discretion.
